Termination of discussions re proposed acquisition

On 21 April 2017, African Potash announced that it had signed a Letter of Intent ('LoI') in connection

with the proposed acquisition by the Company of Onshore Energy Limited ('OEL'), a private investment

company that invests in unquoted companies ( the 'Acquisition').

In light of the recent progress made with the Company's African fertilizer business, the Board has agreed

that there would be no benefit in pursuing the acquisition.

The Directors of the Company accept responsibility for the content of this announcement.
